Terms of Service

1. Introduction and acceptance

These Terms of Service ("Terms") govern your use of the website https://indicium-bb.com (the "Site") and any communications you receive from Indicium By Bounty ApS, CVR no. 37538175, Fruebjergvej 3, 2100 København Ø, Denmark ("Indicium", "we", "us", "our").

By using the Site, submitting a form, or signing up to receive email or SMS messages from us, you agree to these Terms. If you do not agree, please do not use the Site or sign up for our communications.

These Terms apply alongside our Privacy Policy. Any consulting, development or other professional services we deliver to clients are governed by a separate written agreement, which takes precedence over these Terms for those services.

2. Our services and who may use them

Indicium provides professional IT services, including Jira consulting, development and administration, application integrations, data visualization and business intelligence, marketing and tracking solutions, and full stack web development. The Site presents these services and lets you contact us or subscribe to our communications.

The Site is intended for business users. You must be at least 18 years old and able to enter into a binding agreement. If you use the Site or subscribe on behalf of a company, you confirm that you are authorised to do so.

You agree to give us accurate information, including a correct email address and mobile number that belong to you, and to tell us if they change.

3. Email communications: opt-in

We send marketing emails only to people who have actively opted in. You opt in by ticking an unticked consent box, submitting a sign-up form that clearly states you will receive emails, or otherwise giving us your express consent. Consent is never a condition of buying any service from us.

By opting in, you agree to receive emails from Indicium such as newsletters, service news, product and feature updates, event invitations, offers and surveys. How often we write varies, and we aim to keep it relevant.

We may confirm your subscription with a confirmation email (double opt-in). We record the time, source and wording of your consent so that we can document it.

We may also send you service and transactional emails, for example replies to an enquiry, account notices, invoices or security messages. These are not marketing and do not require marketing consent.

4. SMS communications: opt-in

We send SMS messages only to people who have opted in by sending us a text message. The only way to opt in is to text us at +1 661 215 8662 from the mobile number you want to subscribe. We do not sign you up through web forms, checkboxes or any other channel, and we never add a number that has not texted us first.

By texting us, you confirm that:

• you are the subscriber or regular user of the mobile number you text from,
• you agree to receive recurring SMS messages from Indicium at that number, which may include marketing messages, service notifications, reminders and updates, and which may be sent using automated technology,
• you understand that consent to SMS is not a condition of buying any goods or services.

Message frequency. Message frequency varies depending on your interaction with us.

Cost. We do not charge for SMS messages. Message and data rates may apply according to your mobile plan, and you are responsible for any such charges.

Help. Reply HELP to any message for assistance, or contact us using the details in section 10.

Carriers and delivery. Mobile carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier, your device and network coverage, and we cannot guarantee that every message arrives.

Number changes. If you change or give up your mobile number, opt out first or tell us, so that messages are not sent to the next holder of the number.

No sharing of SMS consent. We do not sell, rent or share your mobile number or your SMS opt-in consent with third parties or affiliates for their own marketing purposes. We share them only with service providers that send messages on our behalf.

5. Opting out

You can withdraw your consent at any time, free of charge, and it is as easy to opt out as it was to opt in. Email and SMS consents are separate: opting out of one channel does not opt you out of the other.

After you reply STOP, we may send one final SMS confirming that you have been unsubscribed. You will then receive no further SMS messages from us unless you opt in again, which you can do at any time by texting +1 661 215 8662 again or replying START.

Opting out of marketing does not affect the lawfulness of messages sent before you withdrew consent. We may still send you non-marketing messages that are necessary to handle an enquiry, a contract or a legal obligation. We keep a record of your opt-out, including the email address or number concerned, so that we can respect it.

6. Third-party links and services

The Site and our messages may contain links to websites, tools or offers operated by third parties, for example Atlassian or other technology partners. We do not control these third parties and are not responsible for their content, products, terms or privacy practices. Your dealings with them are solely between you and them.

7. Privacy and personal data

Indicium is the data controller for the personal data we collect through the Site and our communications, such as your name, company, email address, mobile number, consent records and how you interact with our messages. We process this data in line with the EU General Data Protection Regulation (GDPR) and Danish data protection law.

Our Privacy Policy explains what we collect, why, how long we keep it, who we share it with, and your rights, including access, correction, deletion, objection and the right to complain to the Danish Data Protection Agency (Datatilsynet). Our emails may use tracking pixels and tracked links to measure opens and clicks, as described in the Privacy Policy.

8. Acceptable use and intellectual property

You may use the Site only for lawful purposes. You must not:

• sign up another person for our emails or SMS without their permission,
• attempt to gain unauthorised access to the Site, its systems or data,
• interfere with the Site's operation, including by introducing malware or by scraping it with automated tools without our written consent,
• use the Site in a way that infringes anyone else's rights.

All content on the Site, including text, graphics, logos, software and design, belongs to Indicium or its licensors and is protected by intellectual property law. You may view and print content for your own internal business use. Any other copying, distribution or modification requires our prior written permission. Third-party names and trademarks, such as Jira and Atlassian, belong to their respective owners.

9. Disclaimers and limitation of liability

The Site and our messages are provided "as is" and for general information only. They are not professional advice, and we do not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that its content is complete or up to date.

To the extent permitted by law, Indicium is not liable for indirect or consequential loss, including loss of profit, revenue, data or goodwill, arising from your use of the Site or our communications, or from delayed or undelivered messages. Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for intent or gross negligence.

10. Changes, governing law and contact

Changes. We may update these Terms from time to time. The current version is always available on the Site with its effective date. If a change materially affects our email or SMS programmes, we will tell subscribers in advance. Continuing to use the Site or remaining subscribed after a change takes effect means you accept the updated Terms.

Severability. If any provision of these Terms is found invalid, the remaining provisions stay in force.

Governing law and venue. These Terms are governed by Danish law, excluding its conflict-of-law rules. Any dispute will be settled by the Danish courts, with the Copenhagen City Court (Københavns Byret) as the court of first instance, subject to any mandatory rights you have where you live.
